1. Introduction and Acceptance

Welcome to NuVision Resolve LLC (“NuVision Resolve,” “Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) constitute a binding legal agreement between you (“you,” “your,” or “client”) and NuVision Resolve LLC regarding your use of our debt restructuring consultation services, financial analysis, creditor negotiation support, and related services (collectively, the “Services”).

BY ENGAGING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE OF OUR SERVICES.

These Terms incorporate by reference our Privacy Policy.

IMPORTANT: THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER (SECTION 11). PLEASE REVIEW CAREFULLY.

2. Description of Services

NuVision Resolve provides debt restructuring and financial consulting services for small businesses, including:

  • Customized debt restructuring plans to reduce and reorganize business debt obligations

  • Payment plan development for outstanding obligations
  • General financial consultation and guidance regarding debt management strategies

2.1 Service Limitations

Results are not guaranteed. Debt reduction outcomes depend on creditor cooperation, your financial situation, and other factors. Past results do not guarantee future performance.

NUVISION RESOLVE IS NOT A LAW FIRM, ACCOUNTING FIRM, OR LICENSED FINANCIAL ADVISORY FIRM.

Our services are consulting services only and do not constitute legal, tax, accounting, or investment advice. You should consult qualified licensed professionals for matters requiring professional expertise. Any financial projections or estimates are for illustrative purposes only.

4. Eligibility

You represent and warrant that:

  • You are at least 18 years of age
  • You are the owner, officer, or authorized representative of the business seeking our Services
  • You have the legal authority to enter into agreements on behalf of the business
  • All information and financial documentation you provide is accurate, truthful, and complete

5. Your Obligations

You agree to:

  • Provide accurate, complete, and current financial information and documentation
  • Promptly inform us of any material changes to your financial situation
  • Cooperate in good faith with the debt restructuring process
  • Not provide false, misleading, or fraudulent financial information
  • Not use our Services for any illegal purposes
  • Maintain the confidentiality of your account credentials
  • Comply with all applicable laws and regulations

6. Privacy and Financial Data

We collect and process information necessary to deliver our Services, including financial documents, debt records, and contact information. This data is handled in accordance with our Privacy Policy.

7. Fees and Payment

Service fees will be disclosed and agreed upon prior to commencement of paid Services, as outlined in your individual service agreement. All fees are due according to the payment schedule in your agreement. You agree to pay all applicable taxes. We may suspend services for non-payment.

We may modify fees with at least 30 days’ advance notice for ongoing services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACCURACY OF FINANCIAL ANALYSIS.

We specifically disclaim any warranty that our restructuring recommendations will achieve any particular result, that creditors will agree to proposed terms, or that financial projections will prove accurate.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVISION RESOLVE’S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF $100 OR THE TOTAL AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

NuVision Resolve shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, damages resulting from creditor actions, or damages from reliance on financial projections. These limitations apply regardless of legal theory and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow certain liability limitations, so these may not apply to you to the extent prohibited by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless NuVision Resolve, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including attorneys’ fees) arising from your use or misuse of the Services, your violation of these Terms, or any false or fraudulent information you provide.

11. Dispute Resolution and Arbitration

PLEASE READ CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS.

All disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration, except for claims in small claims court or requests for injunctive relief.

Arbitration shall be conducted in Monmouth County, New Jersey, under the Streamlined Arbitration Rules of JAMS, before a single arbitrator, in English.

Any arbitration shall be conducted on an individual basis only. Class arbitrations, class actions, and representative proceedings are prohibited. You waive the right to participate in any class action.

BY AGREEING TO ARBITRATION, BOTH PARTIES WAIVE THE RIGHT TO A TRIAL BY JURY.

These Terms are governed by the laws of the State of New Jersey.

12. Termination

You may terminate your engagement at any time by providing written notice to us. We may terminate or suspend your access for violation of these Terms, providing fraudulent information, non-payment, or any reason in our sole discretion.

Upon termination, your right to use Services ceases immediately. You remain liable for outstanding payment obligations. Any ongoing creditor negotiations may be affected; we are not liable for outcomes after termination. We may retain information as required by law.

13. General Provisions

These Terms, together with our Privacy Policy and any individual service agreement, constitute the complete agreement between you and NuVision Resolve. We may modify these Terms at any time by posting updates on our website; continued use constitutes acceptance. If any provision is found unenforceable, the remainder continues in effect. Our failure to enforce any provision does not constitute a waiver. You may not assign these Terms without our written consent. We are not liable for failures due to circumstances beyond our reasonable control.
